Terms of Service

Before we get started, here are the ground rules — simple and fair.

BY ACCESSING, INSTALLING, OR USING THE SHELLEL APPLICATION OR ANY PART OF THE SERVICE IN ANY MANNER, YOU UNCONDITIONALLY ACCEPT AND AGREE TO BE LEGALLY BOUND BY THESE TERMS OF SERVICE ("Terms"). IF YOU DO NOT AGREE, YOU MUST IMMEDIATELY CEASE USE AND DELETE YOUR ACCOUNT.

These Terms apply to two categories of users:

  • Visitors: Any person who accesses the Shellel website or application without a registered account. Visitors may only browse public-facing content.
  • Subscribers: Any Visitor who registers and creates an account. Subscribers access the full Service and are bound by all additional obligations in these Terms.

Visitors and Subscribers are collectively referred to as "Users". Shellel reserves the right to modify these Terms at any time. Changes take effect upon posting. Your continued use of the Service after any modification constitutes unconditional acceptance of the revised Terms.

1. About Shellel

Shellel is an AI-powered nutrition application that generates personalised meal plans and dietary suggestions based solely on information you provide. The Service is a general wellness tool only.

HEALTH DISCLAIMER: THE SERVICE IS NOT A MEDICAL DEVICE, HEALTHCARE SERVICE, CLINICAL TOOL, OR SUBSTITUTE FOR PROFESSIONAL MEDICAL OR NUTRITIONAL ADVICE. RECOMMENDATIONS ARE FOR GENERAL INFORMATIONAL PURPOSES ONLY AND DO NOT CONSTITUTE MEDICAL ADVICE, DIAGNOSIS, TREATMENT, OR PRESCRIPTION OF ANY KIND. NO PHYSICIAN-PATIENT, DIETITIAN-CLIENT, OR ANY OTHER PROFESSIONAL RELATIONSHIP IS CREATED BY YOUR USE OF THE SERVICE. YOU ASSUME FULL AND SOLE RESPONSIBILITY FOR ANY DIETARY CHANGES MADE BASED ON THE SERVICE. ALWAYS CONSULT A QUALIFIED MEDICAL PROFESSIONAL BEFORE CHANGING YOUR DIET.

If you have any chronic condition including but not limited to diabetes, cardiovascular disease, kidney disease, celiac disease, PCOS, eating disorders, or any other diagnosed illness, you must obtain explicit clearance from a licensed medical professional before following any plan generated by the Service.

2. Eligibility and Account Registration

2.1 Age Requirement

You must be at least 18 years of age to use Shellel independently. Users aged 13 to 17 may only use the Service with verifiable parental or legal guardian consent as required under applicable Indian law. By using the Service, you represent and warrant that you meet the applicable age requirement.

2.2 Account Registration

To access the Service, you must register using a valid Google account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain the security and confidentiality of your account credentials
  • Accept full responsibility for all activity that occurs under your account
  • Notify us immediately at support@shellel.com of any suspected unauthorised access

Shellel reserves the right to suspend or terminate any account at its sole discretion, with or without notice.

2.3 Account Access and Data Loss

Your Shellel account is linked to your Google account. You acknowledge that:

  • If you lose access to your Google account, you may permanently lose access to your Shellel account and all associated data
  • Shellel bears no liability for any loss of data or account access resulting from loss of your Google credentials, account suspension, device loss, or app deletion
  • You are solely responsible for maintaining independent copies of any data you consider important
  • Shellel will never request your Google account password. Any such request is fraudulent and should be reported to support@shellel.com

3. Permitted and Prohibited Use

3.1 Permitted Use

The Service is provided solely for your personal, non-commercial use. Any other use requires Shellel's prior written consent.

3.2 Prohibited Conduct

You agree not to:

  • Use the Service for any unlawful or harmful purpose
  • Attempt to gain unauthorised access to any part of the Service or its infrastructure
  • Reverse-engineer, decompile, disassemble, or attempt to derive the source code
  • Reproduce, distribute, sublicense, or commercially exploit any part of the Service
  • Upload or transmit any malware, virus, or harmful code
  • Impersonate any person or entity
  • Use automated systems, bots, or scrapers to access or extract data
  • Engage in framing, mirroring, or simulating the Service
  • Resell or supply access to the Service to any third party
  • Harass, abuse, threaten, or infringe the rights of any person through the Service

Any breach may result in immediate termination of your account without notice or refund.

3.3 Authorised Sharing

If Shellel introduces sharing or multi-user features, the Subscriber granting access shall be solely liable for all actions of any person they share access with.

4. Licence Grant and User Data

4.1 Your Data

When you use the Service, you provide dietary preferences, health goals, meal logs, and related information ("User Data"). You represent that you have full rights to submit all User Data and that doing so does not violate any law or third-party right.

4.2 Licence from You to Shellel

By submitting User Data, you grant Shellel a worldwide, royalty-free, non-exclusive licence to use, store, process, copy, transmit, and make available your User Data for the purposes of providing and improving the Service. You further grant Shellel the right to use anonymised, aggregated, or de-identified data derived from your use for any purpose, including commercial purposes, without restriction.

Shellel will not sell your identifiable personal data to third parties. Upon account deletion, identifiable User Data will be scheduled for deletion within 30 days, subject to retention obligations under applicable Indian law and backup rotation cycles of up to 90 days.

5. AI-Generated Content and Limitations

The Service uses artificial intelligence to generate recommendations. You acknowledge that:

  • All AI-generated recommendations are provided strictly on an informational basis
  • Shellel makes no guarantee that any recommendation will achieve any specific health outcome
  • The quality of outputs depends entirely on the accuracy of the information you provide
  • AI outputs may contain errors, omissions, or inaccuracies and must be independently verified
  • Shellel's AI does not replace the judgment of any licensed professional
  • Shellel accepts no liability for any consequence arising from your use of AI-generated output

6. Data Privacy and Protection

6.1 Governing Framework

The collection, processing, and storage of your personal data is governed by applicable Indian law. Shellel operates as a Data Fiduciary under applicable Indian data protection law. Full details are set out in our Privacy Policy, which forms part of these Terms.

6.2 Data Collection and Processing

We collect personal and health-related data that you voluntarily provide, as well as usage and technical data generated automatically. By using the Service, you provide informed consent to such collection and processing. We process your data on servers located within India.

6.3 Third-Party Data Processing

The Service operates through third-party infrastructure including Google Sign-In, OpenAI's API, Firebase and MongoDB Atlas. You acknowledge that your data is processed by these third parties in accordance with their own terms and privacy policies.

6.4 Your Data Rights

Subject to applicable Indian law, you have the right to access, correct, and request deletion of your personal data, and to raise a grievance with our Grievance Officer at support@shellel.com. We will acknowledge grievances within 48 hours and endeavour to resolve within 30 days.

7. Intellectual Property

All content, software, algorithms, features, trademarks, logos, and functionality comprising the Service are the exclusive property of Shellel and its licensors, protected under applicable Indian intellectual property law. You are granted a limited, non-exclusive, non-transferable, revocable licence to use the Service for personal non-commercial purposes only.

8. Third-Party Services

THE SERVICE INTEGRATES WITH AND IS DEPENDENT UPON THIRD-PARTY SERVICES INCLUDING GOOGLE SIGN-IN, OPENAI, AND MONGODB ATLAS, WHICH ARE OUTSIDE SHELLEL'S CONTROL. Shellel makes no warranty regarding the availability, security, accuracy, or continuity of any third-party service. Shellel accepts no liability for:

  • Any data breach, loss, corruption, or unauthorised access arising from third-party providers
  • Any service interruption or outage caused by third-party infrastructure
  • Any change in the terms or data practices of any third-party service
  • Any processing of your data by third parties beyond the scope of Shellel's instruction

9. Disclaimers and Limitation of Liability

9.1 Service Provided As Is

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTY OF ANY KIND. SHELLEL DISCLAIMS ALL WARRANTIES INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, RELIABILITY, AND NON-INFRINGEMENT.

9.2 No Liability for Health Outcomes

SHELLEL SHALL BEAR NO LIABILITY FOR ANY PHYSICAL INJURY, ILLNESS, ALLERGIC REACTION, ADVERSE HEALTH EVENT, NUTRITIONAL DEFICIENCY, OR ANY OTHER HEALTH OUTCOME ARISING FROM YOUR USE OF OR RELIANCE ON ANY RECOMMENDATION PROVIDED BY THE SERVICE.

9.3 No Liability for Third-Party Failures

Shellel bears no liability for any loss or damage arising from the failure, unavailability, breach, or acts of any third-party service provider, including Google, OpenAI, Firebase and MongoDB Atlas.

9.4 No Liability for Data Loss

In the event of data loss on Shellel's servers arising from causes beyond Shellel's direct control, Shellel's maximum liability shall be limited to a reimbursement of the pro-rated subscription fee for the period of unavailability. This limitation shall not apply to data loss caused by Shellel's own gross negligence or wilful misconduct.

9.5 General Limitation of Liability

To the maximum extent permitted under applicable Indian law, Shellel's total cumulative liability shall not exceed the total amount paid by you to Shellel in the twelve (12) months preceding the event. If you have made no payment, Shellel's liability shall be limited to INR 1,000.

10. Payments and Subscriptions

  • Subscription Fees: Certain features may require payment of a recurring subscription fee. All pricing will be clearly displayed before purchase.
  • Billing Cycle: Subscriptions may be billed monthly or annually and renew automatically unless cancelled prior to the next billing date.
  • Cancellation: You may cancel your subscription at any time through the application or billing platform. Cancellation takes effect at the end of the current billing period.
  • Refund Policy: Except where required by applicable law, all payments are non-refundable.
  • Third-Party Billing: If you subscribe through Apple App Store or Google Play, billing and refunds are governed by those platforms' policies.

11. Indemnification

You agree to fully indemnify, defend, and hold harmless Shellel and its affiliates, directors, officers, employees, and agents from any claims, liabilities, damages, losses, costs, and expenses arising from: (a) your use of the Service; (b) your breach of these Terms; (c) your violation of any law or third-party right; (d) any User Data you submit that is false or unlawful; or (e) any health or dietary decision you make based on the Service.

12. Termination and Suspension

12.1 Termination by Shellel

Shellel reserves the right to suspend or terminate your access at any time, with or without notice, for any reason including breach of these Terms. No refund shall be owed upon termination for breach.

12.2 Inactive Account Deletion

Free accounts inactive for 12 consecutive months may be deleted. Shellel will send a minimum of three email notifications, with the first at least 30 days before scheduled deletion. Logging in resets the inactivity period. Paid accounts with an active subscription are exempt.

12.3 Cancellation by Subscriber

You may cancel your account at any time via the app, at the account deletion page, or by emailing support@shellel.com. Identifiable data will be scheduled for deletion within 30 days. You are responsible for exporting any data you wish to retain before cancellation.

13. Modifications to the Terms

Shellel may amend these Terms at any time. Your continued use after any amendment constitutes unconditional acceptance. Where changes are material, Shellel will make reasonable efforts to notify you via the app or email.

14. Governing Law and Dispute Resolution

14.1 Governing Law

These Terms are governed by the laws of India. All disputes shall be subject to Indian law and jurisdiction.

14.2 Tiered Dispute Resolution

All disputes shall be resolved through the following mandatory tiered process:

  1. Internal Grievance (Mandatory): Submit a written complaint to support@shellel.com. Shellel will acknowledge within 48 hours and endeavour to resolve within 30 days.
  2. Mediation: If unresolved, the parties shall attempt good-faith mediation within 30 days.
  3. Arbitration: Unresolved disputes shall be referred to binding arbitration under applicable Indian arbitration law. The seat and venue shall be Mumbai, Maharashtra. Proceedings shall be in English.

14.3 Data Protection Disputes

Disputes relating to personal data processing may be referred to the appropriate authority under applicable Indian data protection law and fall outside the arbitration clause.

15. Miscellaneous

  • Entire Agreement: These Terms and our Privacy Policy constitute the entire agreement between you and Shellel.
  • Severability: If any provision is held invalid, the remainder continues in full force.
  • Waiver: No failure to enforce any provision shall constitute a waiver.
  • Language: These Terms are in English. In any conflict with a translation, the English version prevails.
  • Force Majeure: Shellel bears no liability for failure or delay caused by circumstances beyond its reasonable control.
  • No Partnership: Nothing in these Terms creates any partnership, joint venture, employment, or agency relationship.
  • Assignment: Shellel may assign these Terms without your consent. You may not assign your rights or obligations.
